Company Formation in Bulgaria
Bulgaria is an excellent choice to form a company because of its favorable tax regime. It has extremely low taxes compared to the rest of Europe. Bulgaria charges a flat tax of 10 percent corporation tax. The country encourages foreign investment, and the capital required to open a Limited Liability Company (EOOD or OOD) in Bulgaria is minimal. The cost of labor is comparatively low. If much of your business is conducted in Asia, Bulgaria is the perfect choice due to its advantageous geographical position at the border of Europe and Asia.

Here are some common questions about company formations in Bulgaria.
What types of companies can be formed in Bulgaria?
The most common types are:
- Limited Liability (called an EOOD for single-owners or OOD for multiple shareholders)
- Joint-stock (EAD for sole-owned and AD for multiple shareholders)
Foreign companies can open up a branch or operate through a Bulgarian-incorporated subsidiary.
How many directors does a Bulgarian Limited Company (EOOD or OOD) require?
Only one. The director does not need to be a resident of Bulgaria.
How many board members does a Bulgarian joint-stock (EAD/AD) company have to have?
At least three. The shareholders can transfer stock to new shareholders via endorsements.
How much capital is required to start a Bulgarian company?
EOODs and OODs (Limited Liability Companies) have a minimum share capital of 2 Bulgarian leva (BGN) or €1.00.
EADs and ADs require a minimum share capital of BGN 50,000 or approximately €25,500.00. Twenty-five percent of this must be paid upfront. The remainder must be paid within two years of the EAD/AD being incorporated.
How much corporate tax is there in Bulgaria?
Bulgaria charges 10 percent corporate tax. If you are a non-resident, this will be applied to your Bulgarian-sourced income only. Bulgaria has dual-taxation treaties in place with multiple nations. Your taxation rate for the remainder of your earnings depends on the country with which Bulgaria has a treaty in place.
