What is the initial share capital required to form a limited liability company in Italy (S.r.l)?
The initial share capital for both traditional and simplified limited companies in Italy has been reduced to €1.
What is the difference between a Traditional S.r.l. and a Simplified S.r.l.?
Simplified companies cannot have an initial share capital greater than €10,000 and can only adopt the standard-model articles of association by-laws provided by Italian law, i.e. no amendments to these standard-model articles are permitted. A Traditional S.r.l., however, is permitted to tailor-make its own by-laws.
How much is corporate tax in Italy?
Corporate Tax in Italy (IRES) is currently 24%. However, a regional tax called IRAP also applies, and is currently at a suggested rate of 3.9%. This rate can be increased or decreased by regional authorities, resulting in a differing effective tax rate depending on where the company is situated.
What is the minimum number of directors required for an S.r.l.?
Only one. But if there are not at least two shareholders, then liability will be deemed to be unlimited.
