The most common types are:
Limited Liability (called an EOOD for single-owners or OOD for multiple shareholders)
Joint-stock (EAD for sole-owned and AD for multiple shareholders)
Foreign companies can open up a branch or operate through a Bulgarian-incorporated subsidiary.
Only one. The director does not need to be a resident of Bulgaria.
At least three. The shareholders can transfer stock to new shareholders via endorsements.
EOODs and OODs (Limited Liability Companies) have a minimum share capital of 2 Bulgarian leva (BGN) or €1.00.
EADs and ADs require a minimum share capital of BGN 50,000 or approximately €25,500.00. Twenty-five percent of this must be paid upfront. The remainder must be paid within two years of the EAD/AD being incorporated.
Bulgaria charges 10 percent corporate tax. If you are a non-resident, this will be applied to your Bulgarian-sourced income only. Bulgaria has dual-taxation treaties in place with multiple nations. Your taxation rate for the remainder of your earnings depends on the country with which Bulgaria has a treaty in place.
